Terms of Service
Last updated:
1. Operator and agreement
These Terms of Service ("Terms") govern your access to and use of the Taufolio website, application, reports, share links, subscriptions, and related services (collectively, the "Service").
The Service is operated by:
- Jacek Janczura
- Adama Mickiewicza 73, 01-625 Warszawa, Poland
- Email: support@taufolio.com
- NIP: 5253008276
- VAT EU: PL5253008276
- REGON: 528998136
By creating an account, purchasing access, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
You may use Taufolio only if:
- you are legally capable of entering into a binding agreement under applicable law
- you are at least the age of majority in your jurisdiction
- the use of the Service is not prohibited by applicable law
If you use Taufolio on behalf of a business or other organization, you represent that you have authority to bind that entity to these Terms.
3. What Taufolio is
Taufolio is informational software that helps users generate AI-assisted equity research materials, including deep research reports, short recap reports, earnings call analysis, translations, portfolio monitoring features, and public share links.
Taufolio is provided as a software service only.
4. What Taufolio is not
Taufolio is not:
- investment advice
- financial advice
- legal advice
- tax advice
- brokerage
- portfolio management
- custody
- an execution venue
- a fiduciary or personal adviser
Taufolio does not assess the suitability of any investment for your specific circumstances and does not make personal recommendations.
5. No professional relationship and no suitability assessment
Your use of Taufolio does not create an adviser-client, fiduciary, broker-client, lawyer-client, tax-adviser, or other professional relationship between you and Taufolio.
Taufolio does not collect or assess your full financial situation, investment objectives, risk tolerance, time horizon, knowledge, experience, liquidity needs, tax position, or suitability profile. Any portfolio, watchlist, holdings, or preference functionality is used only to organize informational research outputs and is not used to determine whether any investment is suitable or appropriate for you.
6. Not investment advice
Reports, ratings, scores, summaries, recaps, earnings-call analyses, translations, and any buy, sell, hold, long, short, bullish, bearish, or similar markers or signals produced by the Service are provided for informational purposes only. They are research stance indicators and not, and must not be treated as, investment advice, a personal recommendation, a solicitation, or an offer to buy or sell any security or financial instrument.
You are solely responsible for your own investment decisions. You should independently verify any information and, where appropriate, consult a qualified, licensed professional before acting on it. Taufolio accepts no responsibility for any investment, trading, business, tax, or legal decision made by you or on your behalf.
7. Scope of AI processing
Taufolio's AI providers process only public information about the companies and instruments being analyzed (such as filings, transcripts, market data, and similar public sources). User account data, profile information, portfolio holdings, watchlist entries, payment data, and other personal data are not transmitted to AI providers.
Any portfolio, watchlist, or holdings features are used only to organize and route research outputs locally within Taufolio. Because no personal financial circumstances are sent to the AI engine, outputs are not produced on the basis of your personal situation and cannot constitute a personal recommendation under applicable law.
8. No reliance and AI risk
Taufolio uses automated systems and AI models to generate outputs.
You acknowledge and agree that:
- outputs may be incomplete, inaccurate, stale, inconsistent, misleading, or hallucinatory
- source materials may be incomplete or contain errors
- the Service may omit relevant facts, risks, or context
- any market, legal, regulatory, or company information can change quickly
You must independently review and verify any information before relying on it. You use the Service at your own risk.
9. AI outputs, similar outputs, and no exclusivity
Because the Service uses automated systems and common source materials, similar or identical outputs may be generated for different users. You do not receive exclusive rights in general ideas, facts, market data, methodologies, ratings logic, templates, or non-user-specific outputs.
Facts, financial data, company information, and public-source materials are not owned by you merely because they appear in a report generated for your account.
10. Third-party data and provider dependencies
Taufolio may rely on third-party data, filings, transcripts, market-data providers, AI providers, APIs, and public sources. We do not guarantee that third-party data is accurate, complete, current, available, or error-free. Data may be delayed, revised, corrected, or unavailable. We are not responsible for losses caused by third-party data errors, delays, outages, or changes.
11. Public dissemination and investment recommendations
Outputs of the Service may include automated classifications, summaries, scores, ratings, or research labels. These outputs are not intended to recommend or suggest an investment strategy in respect of any specific financial instrument or issuer.
You must not publish, redistribute, or present any Taufolio output as an investment recommendation, personal recommendation, financial promotion, issuer-sponsored research, or inducement to buy, sell, hold, short, or otherwise transact in any financial instrument.
If you publish or redistribute Taufolio outputs (including via public share links, social media, newsletters, or any other channel), you are solely responsible for ensuring that your publication complies with all applicable laws and rules, including those on investment recommendations, market abuse, conflicts of interest, advertising, and financial promotions.
12. Conflicts of interest
Unless expressly stated otherwise, Taufolio reports are not sponsored by issuers and Taufolio does not receive compensation from issuers for coverage. Reports are generated automatically by the Service and are not issuer-sponsored research.
Taufolio, its operator, affiliates, employees, or contractors may from time to time hold positions in securities or financial instruments discussed by the Service. Such holdings, if any, are not personalized recommendations to you and do not, on their own, constitute a conflict that requires individual disclosure for each report. If you require a specific holdings disclosure, please contact us at support@taufolio.com.
13. Accounts and account security
Some features require an account. You agree to:
- provide accurate and current information
- keep your login credentials confidential
- maintain the security of your account and devices
- notify us promptly if you suspect unauthorized access or misuse
You are responsible for activity carried out through your account unless mandatory law provides otherwise.
14. Subscriptions, credits, and paid features
Taufolio may offer free, paid, subscription, trial, and one-time paid features, including credit-based usage.
Subscription credits
Subscription plans may include a recurring credit allowance. Unless explicitly stated otherwise for a specific plan, subscription credits may reset, expire, or refresh at the end of the relevant billing cycle and do not necessarily roll over indefinitely.
Top-up credits
Taufolio may also offer one-time top-up credits. Based on the current product model, separately purchased top-up credits are intended to remain in your account until used unless a different rule is expressly stated at purchase time or required by law.
Trial or promotional credits
Trial, promotional, or free credits may expire or be withdrawn under the terms of the relevant offer.
Use of credits
Credits may be deducted when you request reports or other paid actions. Specific credit costs per feature may vary and may change over time - see "Price changes" below.
Credits:
- have no cash value unless mandatory law requires otherwise
- are non-transferable except where we expressly allow it
- may be revoked if issued because of fraud, chargeback, abuse, or obvious error
15. Usage limits and fair use
We may apply fair-use limits, rate limits, concurrency limits, storage limits, and anti-abuse controls, even on plans described as "unlimited," where necessary to protect service stability, prevent abuse, manage costs, or ensure fair access.
16. Subscription renewal and cancellation
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Cancellation stops future renewals but does not automatically refund the current billing period unless mandatory law or a specific refund policy says otherwise. You remain responsible for charges already incurred before cancellation.
We may retry failed payments, downgrade, suspend, or terminate access after failed payment, and you remain responsible for unpaid amounts unless prohibited by law.
If you initiate a chargeback or payment dispute, we may suspend access while the dispute is reviewed. Fraudulent or abusive chargebacks may result in termination and loss of promotional credits, subject to mandatory law.
17. Billing and renewals
If you buy a paid subscription or paid credits, you authorize the relevant payment provider to charge the applicable fees, taxes, and other disclosed amounts.
If your plan renews automatically, you authorize recurring charges until you cancel in accordance with the relevant subscription terms.
We may suspend or limit access if payment fails, is reversed, is reasonably suspected to be fraudulent, or remains overdue.
18. Price changes
We may change the price of subscriptions, plans, top-up packs, individual reports, report types, features, and credit costs at any time for future purchases, renewals, report generations, or feature uses. We will not retroactively change the price of a completed purchase.
For subscriptions, any price increase will apply no earlier than the next renewal period after reasonable advance notice, and you may cancel before the new price applies.
For credit-based report generation, the applicable credit cost will be shown before you confirm the generation or paid action, and changes apply only prospectively. Credit costs for reports or features may change prospectively due to changes in model costs, data-provider costs, infrastructure costs, product scope, report depth, or business strategy.
Taufolio may add, remove, modify, rename, or re-scope reports, sections, ratings, scoring logic, translations, and other features at any time.
Your continued use of the Service after a price change becomes effective constitutes acceptance of the new pricing for future purchases.
19. Taxes and currency
Prices may exclude VAT, sales tax, withholding tax, bank fees, foreign-exchange fees, or similar charges unless stated otherwise. You are responsible for applicable taxes and fees except where we are required to collect them.
20. Refund policy
Except where required by applicable law (including mandatory consumer-protection rules) or where we expressly state a more specific commercial policy at checkout, on the pricing page, or in another purchase flow:
- subscription fees are non-refundable mid-period - if you cancel, your subscription remains active until the end of the current billing period and is not pro-rated
- top-up credits are non-refundable once the credits have been granted to your account
- partially used top-up packs are non-refundable
- credits used to generate reports or other outputs are non-refundable
We may, at our sole discretion, grant goodwill refunds or credit reversals in exceptional cases (for example, a verified billing error or a material service defect). Any such goodwill refund is not a waiver of the refund policy and does not entitle you to future refunds in similar situations.
If we expressly offer a more specific refund window or refund condition for a given plan or purchase flow, that more specific statement controls for that transaction.
21. Consumers and digital-service performance
If you are a consumer, you have statutory rights under applicable consumer law, including rights relating to withdrawal, conformity, defects, or unfair terms. Nothing in these Terms limits your statutory rights.
For consumers in the EEA, UK, or other jurisdictions with mandatory withdrawal rights, where you purchase digital content or digital services and request immediate performance, you expressly request and agree, by accepting these Terms and confirming your purchase, that performance of the Service may begin immediately and before the end of the 14-day withdrawal period. Where permitted by applicable law, you acknowledge that your statutory withdrawal right may be lost once the digital content has been supplied or the service has been fully performed.
For consumers, suspension, termination, deletion of credits, the limitation of liability in section 33, the indemnification obligation in section 34, and changes to these Terms apply only to the extent permitted by mandatory consumer law. Where mandatory consumer law gives you stronger protections than the corresponding clause of these Terms, those mandatory protections prevail.
22. User content and uploaded materials
You are responsible for content, files, prompts, transcripts, documents, and other materials you submit, upload, request, publish, or share through Taufolio.
You represent that:
- you have the necessary rights to provide and use that content
- your content and use of the Service do not violate applicable law or third-party rights
You retain ownership of your content as between you and Taufolio, but you grant us a non-exclusive, worldwide licence to host, process, analyze, store, reproduce, adapt, and display that content as necessary to operate, secure, improve, and provide the Service.
23. Permitted use of reports
Subject to these Terms and payment of applicable fees, you may use reports generated for your account for your personal, internal, non-commercial investment research purposes. Business or commercial use, redistribution, resale, publication, white-labelling, or use for advising third parties requires our express written permission unless a plan expressly allows it.
You must not present Taufolio outputs as your own professional investment advice, research recommendation, regulated financial advice, or suitability assessment unless you are solely responsible for ensuring compliance with all applicable licensing, disclosure, recordkeeping, and regulatory requirements. You may not strip, obscure, or remove any AI-generated, no-investment-advice, or disclaimer markings before sharing or republishing an output.
24. Public share links
Taufolio may allow you to publish report content via public share links. If you publish a report through a share link:
- anyone with the link may be able to access the shared content
- you are responsible for deciding what content to publish
- you should not publish confidential, personal, or otherwise sensitive information unless you accept that risk
Public share links may be indexed, cached, copied, screenshotted, archived, or redistributed by third parties. Removing a share link may not remove copies already accessed or stored elsewhere.
The restrictions on public dissemination in section 11 (Public dissemination and investment recommendations) apply in full to all public share links. We may disable or remove share links that violate these Terms, create legal risk, or are otherwise inappropriate for the Service.
25. Acceptable use policy
You agree not to:
- use the Service for unlawful, fraudulent, deceptive, or abusive purposes
- infringe the rights of others
- attempt unauthorized access to systems, accounts, or data
- interfere with the security, integrity, or availability of the Service
- scrape, harvest, or extract content or data from the Service other than through authorized user-facing functionality
- reverse engineer, decompile, or attempt to derive source code, underlying models, prompts, or system logic, except where mandatory law prohibits restricting that right
- circumvent, disable, or attempt to bypass any usage, credit, rate, billing, or entitlement limits
- resell, sublicense, or commercially redistribute reports, share-link content, or other outputs of the Service without our express written permission
- use the Service to build a competing dataset, model, or service in a manner that exceeds permitted use
- upload malware, malicious code, or harmful content
- misuse public share links or distribute content in violation of law or third-party rights
We may monitor, investigate, suspend, restrict, or terminate access where we reasonably believe misuse, abuse, fraud, or legal risk exists.
26. Workspace administration
If you use team workspaces, workspace owners/admins may access, manage, export, delete, or restrict workspace content and user access. If you join a workspace, your activity and content within that workspace may be visible to its admins.
27. Beta and experimental features
Some features may be labelled beta, preview, experimental, or early access. These features may be less reliable, may change materially, may be withdrawn, and may produce inaccurate or incomplete outputs.
28. Intellectual property
Taufolio and its software, branding, interface, site design, and related materials are protected by intellectual-property and other laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose.
No rights are granted except as expressly stated in these Terms.
29. Feedback
If you provide feedback, suggestions, ideas, bug reports, or feature requests, we may use them without restriction or compensation.
30. Service availability, changes, and discontinuation
We may modify, update, suspend, or discontinue any part of the Service at any time, including features, models, pricing, credit costs, and plan structure.
We do not guarantee that the Service, or any part of it, will be available at all times, uninterrupted, secure, error-free, or suitable for any particular purpose.
31. Account suspension and termination
We may suspend, restrict, or terminate your access to the Service, in whole or in part, with or without notice, if:
- you breach these Terms or any applicable policy
- payment fails, is reversed, or remains overdue
- we reasonably suspect fraud, abuse, chargeback abuse, or unlawful activity
- continued access creates legal, security, or operational risk for Taufolio, other users, or third parties
- required by law, regulation, or competent authority
You may stop using the Service at any time. Where applicable, you can also cancel paid subscriptions through the relevant billing settings, subject to any disclosed billing-cycle rules.
On suspension or termination, we may delete or restrict access to your account, content, share links, and unused credits, subject to any mandatory legal retention obligations.
If you delete your account, you may lose access to generated reports, share links, unused subscription credits, settings, and history, subject to mandatory law and our retention obligations.
32. Warranty disclaimer
To the fullest extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, statutory, or otherwise.
We expressly disclaim all warranties, including:
- merchantability
- fitness for a particular purpose
- non-infringement
- accuracy, completeness, reliability, or timeliness
- uninterrupted or error-free operation
- freedom from defects, bugs, or harmful components
- any warranty regarding investment outcomes, profitability, or decision quality
No advice or information, whether oral or written, obtained from Taufolio or through the Service creates any warranty not expressly stated in these Terms.
33. Limitation of liability
To the fullest extent permitted by law, Taufolio and its operator will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, lost savings, lost business opportunity, market losses, trading losses, investment losses, loss of goodwill, or loss of or damage to data, arising out of or related to your use of, inability to use, or reliance on the Service - even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, Taufolio's aggregate liability for all claims arising out of or relating to the Service will not exceed the total fees you actually paid to Taufolio during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including mandatory consumer protections.
34. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Taufolio and its operator from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use or misuse of the Service
- your violation of these Terms or any applicable policy
- your violation of applicable law or third-party rights
- content you upload, submit, publish, or share, including via public share links
- any dispute between you and a third party arising from your use of the Service
We may, at our option, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of those claims.
35. Force majeure
Taufolio will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, governmental or regulatory action, labor disputes, cyberattacks, denial-of-service events, failures of the internet or telecommunications networks, or failures of upstream providers (including authentication, payment, hosting, infrastructure, AI-model, market-data, and email providers).
36. Sanctions and export controls
You may not use the Service if you are located in, organized under the laws of, or ordinarily resident in a country or territory subject to applicable sanctions, or if you are on a restricted-party list.
You agree not to use, export, re-export, or transfer the Service in violation of applicable export-control or sanctions laws.
37. Governing law and venue
These Terms are governed by the laws of Poland, without regard to its conflict-of-laws rules, and without prejudice to any mandatory consumer-protection rules that apply in the country where a consumer habitually resides.
If you are a consumer, you may benefit from mandatory local-law protections and forum rights that cannot be contractually displaced.
If you are not a consumer and mandatory law does not require otherwise, the courts of Warsaw, Poland will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
For business users only, disputes must first be escalated in writing and the parties will attempt in good faith to resolve the dispute within 30 days before filing proceedings.
38. Modification of terms
We may update, amend, or replace these Terms from time to time. The updated version becomes effective when published on the Service or otherwise made available to you, unless a different effective date is stated.
If changes are material, we will take reasonable steps to notify you (for example, by email or in-app notice). Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms, unless applicable law requires a different acceptance mechanism. If you do not accept the updated Terms, your sole remedy is to stop using the Service and, where applicable, cancel your subscription.
39. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court or authority of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if it cannot be so modified. The remaining provisions will remain in full force and effect.
40. Entire agreement
These Terms, together with any policies or additional terms we expressly incorporate by reference (for example, at checkout or on the pricing page), constitute the entire agreement between you and Taufolio regarding the Service, and supersede all prior or contemporaneous understandings, communications, or agreements relating to the same subject matter.
41. Survival
All provisions of these Terms that by their nature should survive termination will survive, including - without limitation - provisions relating to:
- intellectual property
- user content licences granted to us
- fees already accrued and payment obligations
- warranty disclaimers
- limitation of liability
- indemnification
- governing law and venue
- dispute resolution
42. DMCA / IP takedown contact
If you believe that content available through the Service (including via a public share link) infringes your copyright or other intellectual-property rights, please send a written notice to support@taufolio.com with the subject line "IP Takedown Request".
Your notice should include:
- identification of the copyrighted or protected work claimed to have been infringed
- identification of the allegedly infringing material and its URL or location on the Service
- your full name, address, telephone number, and email address
- a statement that you have a good-faith belief that the use is not authorized by the rightsholder, its agent, or the law
- a statement, under penalty of perjury (where applicable), that the information in the notice is accurate and that you are authorized to act on behalf of the rightsholder
- your physical or electronic signature
We may disable or remove allegedly infringing content, terminate repeat-infringer accounts, and forward takedown notices to the relevant user where appropriate.
43. Subprocessors
Taufolio relies on third-party service providers to operate the Service. As of the "Last updated" date above, our main subprocessor categories include:
- Authentication: Clerk
- Payments and billing: Stripe
- Database and storage: Supabase
- Hosting, deployment, and edge delivery: Vercel
- AI model providers used to generate, translate, or process content (currently OpenRouter, Google Cloud Vertex AI, OpenAI, AWS Bedrock, and Microsoft Azure, and additional providers we may add or remove from time to time). These providers process only public information about analyzed companies and instruments; user account data, profile data, portfolio holdings, watchlist entries, and payment data are not transmitted to AI providers.
- Market-data and financial-information providers
- Email and notification providers
We may update this list at any time as our infrastructure evolves. An up-to-date list can be provided on request to support@taufolio.com. Transfers of personal data to subprocessors are handled in accordance with our Privacy Policy and applicable data-protection law.
